Rules of Zero Coins and Positive Energy

YOU ACKNOWLEDGE AND AGREE THAT, BY USING ZERO COINS AND POSITIVE ENERGY, YOU ARE INDICATING THAT YOU HAVE READ, AND THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY, THESE RULES. THESE RULES SHALL BE READ TOGETHER WITH THE TERMS AND CONDITIONS. IN THE EVENT OF CONFLICT, THESE RULES SHALL PREVAIL ONLY INSOFAR AS SUCH RELATE TO THE USAGE OF THE ZERO COINS AND POSITIVE ENERGY, BUT THE TERMS AND CONDITIONS SHALL GOVERN IN ANY AND ALL OTHER ASPECTS AND CIRCUMSTANCES WITH RESPECT TO THE OPERATION OF THE PLATFORM AND/OR THE SERVICES. THE DECISION OF NEGAWATT IN RELATION TO THE INTERPRETATION OF THESE RULES AND THE USAGE AND OPERATION OF ZERO COINS AND POSITIVE ENERGY SHALL BE FINAL AND CONCLUSIVE.
Modification:
Negawatt reserves the right to, at its sole discretion, modify these Rules at any time without prior notice and consent. If Negawatt modifies these Rules, it will post the modification via the Platform or otherwise provide you with notice of the modification. By continuing to use the Zero Coins and Positive Energy after Negawatt has posted a modification via the Platform and/or has provided you with notice of the modification, you are indicating that you agree to be bound by the modified Rules. If the modified Rules are not acceptable to you, your only recourse is to cease using the Zero Coins and Positive Energy.
1. DEFINITIONS AND INTERPRETATION
1.1 All capitalized terms in these Rules shall be as defined in the Terms and Conditions, unless otherwise defined as followed:
Eligible Referral means an eligible referral as defined in clause 2.2(d);
Featured Challenges means such featured challenges as defined in clause 2.2(e);
Partnering Restaurants means participating restaurants as defined in clause 2.2(c)(ii);
Spending Coupon has the meaning as defined in clause 3.2(a);
Store Coupon has the meaning as defined in clause 3.2(a); and
Terms and Conditions refers to the terms and conditions of the Platform.
2. COLLECTION OF ZERO COINS AND POSITIVE ENERGY
2.1 General rule of Zero Coins and Positive Energy
(a) The usage, manner and the scale of deduction of Zero Coins and Positive Energy for purposes of Purchase, Redemption and indication of achievement level of the relevant User (as applicable) will be posted on the Platform and will become effective immediately upon disclosure to you (as amended at Negawatt’s sole discretion from time to time). Your making of a Purchase and/or a Redemption upon such disclosure shall constitute your consent to be bound by the same.
(b) The Users understand and acknowledge that (i) the Zero Coins are personal and non-transferable, they cannot be sold, purchased, assigned or otherwise transferred between Users or to other third-parties; (ii) Zero Coins have no cash value and are non-exchangeable for cash or other monetary consideration; (iii) the sole and exclusive purpose of Zero Coins is for Purchase and Redemption via the Platform; and (iv) the sole and exclusive purpose of Positive Energy is for indication of achievement level of the relevant Users on the Platform.
2.2 Earning of Zero Coins
(a) Negawatt may impose a maximum threshold amount of Zero Coins that can be earned by Users calculated per time/day/User from time to time. For the avoidance of doubt, where the then imposed threshold has been exceeded, no Zero Coin will be granted to the relevant Users even when they have completed an activity or action which would otherwise be eligible for earning Zero Coins.
(b) Zero Coins may be earned by Users by the following methods: (i) performance of actions relating to reduction of Co2 emissions (as detailed on the Platform from time to time); (ii) making Eligible Referral; and (iii) successful completion of Featured Challenges and such other flash missions (both as detailed on the Platform from time to time). Zero Coins may be collected and earned by the Users up to the nearest integer.
(c) Performance of actions relating to reduction of Co2 emission
(i) Earning Zero Coins from recycling
Users who wish to earn Zero Coins from recycling is required to recycle specific recycling items at specific recycling points (as listed on the Platform from time to time). The User is then required to use the camera on his/her phone to scan the QR code of the relevant recycling point to submit the relevant supporting information/record (as specified on the Platform from time to time) for purposes to evidence the completion of the relevant recycling actions. Once such information/record is submitted, Zero Coins will be credited into the User’s Account upon Negawatt’s successful verification of the submitted information/record. Each recyclable item can only be submitted once.
(ii) Earning Zero Coins from green dining
Users who wish to earn Zero Coins from green dining is required to accomplish certain green-dining related missions (including but not limited to not using disposable tableware) (as detailed on the Platform from time to time) from any partnering restaurants as listed on the Platform from time to time (as amended at Negawatt’s sole discretion from time to time) (the Partnering Restaurants) when ordering takeaway meal from any such Partnering Restaurants. The User is then required to use the camera on his/her phone to scan the QR code of the relevant Partnering Restaurant to submit (i) a receipt of an order from a relevant Partnering Restaurant; and (ii) the relevant supporting information/record (as specified on the Platform from time to time) for purposes to evidence the completion of the relevant green-dining related missions relevant to such order. Once the record is submitted, Zero Coins will be credited into User’s Account upon Negawatt’s successful verification of the submitted information/record. For avoidance of doubt, whether the transaction of the relevant dining at the Partnering Restaurant was partially/ completely settled by the coupons issued by Partnering Restaurants is not relevant to the eligibility of earning of Zero Coins under this clause 2.2(c)(ii).
(d) Earning Zero Coins by making Eligible Referral
Users are entitled to earn Zero Coins by way of submitting an Eligible Referral. Users who wish to earn Zero Coins from making a referral of new Users must make a successful referral of a person (who to the satisfaction of Negawatt is a person who has not previously registered for an Account (whether in his/her own capacity or otherwise) or otherwise gain access to the Services and/or the Platform) to register for an Account (the Eligible Referral). The new User who is being referred must enter the relevant unique referral code of the referrer User at the time of registration of his/her Account (no subsequent request to re-claim Zero Coins for an Eligible Referral will be entertained if the relevant unique referral code was not input at the time of registration of the Account). Zero Coins will be credited into referrer User’s Account upon Negawatt’s successful verification of the Eligible Referral.
(e) Earning Zero Coins by successful completion of Featured Challenges
Users may earn Zero Coins by completing such featured challenges as listed on the Platform from time to time (as amended at Negawatt’s sole discretion from time to time) (the Featured Challenges). Users who wish to earn Zero Coins from completion of Featured Challenges must (i) allow Negawatt to access step activities information from his/her mobile device; and (ii) understand and agree that discrepancies may exist across different pedometers on different mobile devices and the number of walking distance collected by Negawatt and shown on the Platform shall be final and conclusive for the purposes of determining whether the relevant User has completed the Featured Challenge(s). Users understand the content and nature of some Featured Challenges will require physical exertion and that the Users (and not Negawatt) are responsible to ensure they are medically fit to participate in such Featured Challenges. The Users shall pay attention to their personal health condition and suitability for participating in the Featured Challenges and shall stop immediately if they feel unwell and seek medical assistance. Users may discontinue participation in any and all Featured Challenges (and disable Negawatt’s access to step activities information from his/her mobile devices) at any time.
3. USAGE OF ZERO COINS FOR PURCHASE AND REDEMPTION
3.1 General rule of Purchase and Redemption
(a) The Users understand and agree any Product made available by Platform Merchants and/or Negawatt for Purchase and/or Redemption by the Users shall be as listed on the Rewards page on the Platform from time to time (as amended at Negawatt’s sole discretion from time to time).
(b) Purchase and/or Redemption will only be processed by Negawatt where (i) the relevant User is making the request for Purchase and/or Redemption himself/herself (and not by any other authorized parties and/or nominees); and (ii) the relevant User has the sufficient amount of Zero Coins required for the relevant Purchase and/or Redemption in his/her Account at the time of making the relevant Purchase and/or Redemption (for avoidance of doubt, pooling or otherwise consolidating Zero Coins from different Accounts is not permitted (even if it belongs or otherwise is related to the same User).
3.2 Making a Purchase and/or Redemption
(a) Upon confirmation of a Purchase and/or a Redemption, the relevant Users will receive either (i) (where the Product is not a voucher) a Store Coupon which will enable the relevant Users to redeem the relevant Product from the relevant Platform Merchant by way of showing the same to the relevant Platform Merchant; or (ii) (where the Product is a voucher) a Spending Coupon which the relevant Users may utilize in accordance with the terms and conditions of such Spending Coupon (including but not limited to expiration date and usage restrictions). Both aforementioned coupons will be provided and sent to the relevant User’s Account (in such appropriate format as determined by Negawatt). Users understand and agree that all Products (i) shall be for personal use only and not for re-sale purpose; and (ii) are not exchangeable for other Products, cash or other monetary awards.
(b) For the avoidance of doubt, Negawatt will not be liable for any loss or damage arising as a result or in relation to the relevant User’s incorrect or improper use of the Store Coupon and/or Spending Coupon (including failure to use the Store Coupon and/or the Spending Coupon prior to expiration of the same).
